Position Description - President


The board of directors is collectively accountable to the members. They are responsible for the Association’s performance in relation to its mission and strategic objectives, and for the effective stewardship of financial and human resources. The president serves and is accountable to the board of directors of the Association.


  • The president has no formal authority to direct the board or the affairs of the Association, unless otherwise authorized. Like other board directors, the president is entitled to make motions and vote on matters before the Association board
  • The president may not, on behalf of the Association, enter into contracts without the knowledge and approval of the board and/or the officers of the board  


The president is, first and foremost, responsible for the effective functioning of the board in its role of governing the Association. All other duties are secondary.

Term of office

The president shall not hold the office of president for more than one term of two (2) years, unless appointed to fill a vacancy in the office.

Time commitment

  • Attendance at board meetings, preparing for board meetings, participating in committees and attending special events as required
  • Time commitment ranges between 20-50 hours per month  
  • As the jurisdictional representative for Manitoba, it is also expected that the president will attend Canadian Nurses Association (CNA) board meetings three to four times a year (usually lasting two to three days and requiring advanced preparation), in addition to monthly board and committee teleconferences that can range from 1-2 hours as required

Primary duties

In addition to the duties of a board director, the president is responsible for:

  • Being chair of the board, presiding at all meetings of members and of the board
  • Performing all acts and deeds pertaining to the office of president, such as guiding the strategic planning process
  • Serving as an ambassador of the organization and advocating its mission to internal and external stakeholders
  • Serving as spokesperson, together with the executive director, for the Association
  • Exercising general control and supervision over the affairs of the Association
  • Enforcing rules of conduct as they apply to the board and its individual directors
  • Performing such other acts and duties as the board may, from time to time, direct 
  • Participating in the preparation of the board’s meeting agenda
  • Reviewing meeting minutes prior to distribution
  • Coaching/mentoring the president-elect and other directors of the board
  • Ensuring there is a process to evaluate the effectiveness of the board
  • Ensuring full and timely communication with directors of the board
  • Ensuring the effectiveness of governing committees 
  • Preparing for and chairing the Annual General Meeting (AGM)
  • The preparation of an annual statement from the board (board or governance report) for presentation at the AGM and inclusion in the annual report
  • Co-signing contracts on behalf of the Association 
  • Being available to the executive director for consultation purposes
  • Attending as an ex-officio member, all governance committees as needed to ensure effective communication. 
  • Coordinating an annual performance review of the executive director
  • The president shall have the power to direct and oversee the affairs of the Association between meetings of the board


  • Current member of the Association of Regulated Nurses of Manitoba
  • Currently registered and in good standing with the applicable college
  • Note: A person in good standing is regarded as having complied with all the explicit obligations as a nurse, while not being subject to any form of sanction, suspension or disciplinary censure.
  • Knowledge and understanding of the needs and issues related to nursing practice in a complex and ever-changing health care system 
  • Proven leadership ability
  • Previous experience serving on boards (either for-profit or nonprofit)
  • Evidence of commitment to, and a clear understanding of the mission, vision and values of the Association 
  • Knowledge of meeting procedures, governance policies and by-laws of the Association
  • Availability and ability to devote time and energy to his/her primary duties
  • Have a minimum of 10 years professional work experience as a registered nurse, or a suitable combination of nursing practice and other relevant professional experience. 
  • Exceptional interpersonal and communication skills

Development and evaluation

The president shall regularly consult the board on their expectations related to the president’s role and to assess his/her strengths and areas for improved effectiveness.

Removal of president

In addition to the criteria outlined for removal of board directors (as per bylaw 4.6):

  • Subject to the provisions of the Act, the members may, by resolution of a two-thirds majority of voting members passed at a special meeting of members, remove the president from office and the vacancy created by such removal may be filled at the same meeting, failing which it may be filled by the directors
